Consulting Agreement
I need a consulting agreement. I will be offering my industry knowledge and software products to a large company that is bidding on a contract. We have agreed on a $15,000 retainer. As I have not done this in the past I am not sure how best to cover all my bases. But the primary issues... Show all I need a consulting agreement. I will be offering my industry knowledge and software products to a large company that is bidding on a contract. We have agreed on a $15,000 retainer. As I have not done this in the past I am not sure how best to cover all my bases. But the primary issues or concerns that I do what to cover are as follows:
1. They have asked if I will be giving back any unused monies if they do not get the contact? I have been told from a friend of mine that if I (a) give a reduced hourly charge I would not give back any remaining? or (b) I would ?
2. I usually charge $950 a day basic training of my product and to help with process and procedures, it this the same or should it be more?
3. What about travel time and time spent on related issues with this account (such as the time spent to do this)?
4. MOST IMPORTANT - I have another client how is a competitor of the first company that is also bidding on the same contract. The second company is investing money in adding improvements to my product so they can demonstrate their ability . The first company that wants to retain my company to assist them in their effort to get the contact has not invested in any of my product to date but will in the event of being awarded the contact. The second company has not asked my for any assistance in the bid contract to date. I met with the first company now after over a year with not contact and they are now ready to move forward. I explained that I had another customer that I believe is also bidding on the contact and if this was an issue I would withdraw. They indicated it was not (but could be possible if the other company partnered with another power house competitor) ( I do not know and can not control any of this) So in the end I need a strong agreement that will hold me harmless regardless of what happens. It will need to be based on "Best Efforts" all attempts will be made to keep all knowledge learned at each of the companies private and protected and I will not share any of that knowledge until after one or the other operations is awarded the contract. My company brings both companies a high level of product and industry knowledge that is at least 40% of the value add they have in their proposals. Both company will benefit from the knowledge I learn from the other company if they are awarded the contract.

Since diabetes is having a huge impact in Brazil we would like to produce a marketing plan that would allow us to market our line of glucometers in that country.
We are able to drop ship our brand of glucose monitors and supplies and would like pricing and marketing/distribution strategies complete with projected revenue. I would prefer working with a company that is based in India or someone who is very familiar with the marketplace and how healthcare is delivered in the area.
Our objective is to be able to sell to the government in Brazil or to large hospitals or a distributor for resale. Depending on volume and cost we could also sell via website, however the cost may be prohibitive to patients and we prefer to sell in bulk quantities.
We strongly prefer companies that have a presence in or have had successful experiences in Brazil. Show less
