We need a letter of opinion with regards to anti-trust. We have created a business to business data exchange website and some potential customers want to make sure that we are not price fixing (we are not)
We are not facilitating price fixing because we are consolidating publicly available data into one place, and we do not allow the business to communicate with each other. We are simply providing a convenience - a one stop shop for competitive data. Show less

Legal opinion required regarding employment termination by employer which violated terms of the Executive Employment Agreement .
The Employment Agreement is well written and airtight and provides clearly that the employer can terminate under two conditions only : 1)for Cause and 2) Not- for Cause.
Cause is clearly defined and requires certain procedural steps to be followed including hearing and unainmous decision of Non-Exeutive board . None of this has happen , the employer ( CEO) has been immediately terminated without recourse and without advised of the cause !
I am attaching sample clauses of the Employment Agreement which the employer did not follow .

Tenant law in Colorado - lease to buy

I have the trouble with my landlord regarding me moving out of his place. I need someone to review my lease-to-buy agreement and give me answers to the following questions:
TERMINATION DATE
I want to move out by the end of May. I gave notice on April 12th. Page 6&7 of the agreement talk about the terms of me terminating the lease. My landlord claims that I have to give 60 days notice as per our agreement. I don't see any 60 day notice in there. I want to move out by the end of May and don't want to be liable for paying for June in case the house stays empty.
REIMBURSEMENT FOR MY LEASE TO BUY DOWNPAYMENT
I paid $2,000 towards a lease to buy contract in January 2010. I also paid an additional $150 each month (on top of my 1125 rent). My understanding was that I would get 1/2 of that amount back by the time I move out and wold loose the other 1/2 of that amount.
Over 3 years the total amount paid toward the purchase of the home would have been $7,400.
My landlord claims that I owe him 1/2 of that, regardless of me moving out now. Instead of paying me back my $1,300 (50% of $2,600 paid so far) he claims that I actually owe him money.
I would not have signed this contract if this would have been the term that I understood. I understood that I get 1/2 back at any time I would terminate the contract. It comes down to page 7 of the agreement.
This looks like a grey zone to me when I read it again. He claims that he had friends read it and they'll all take his side.
DO I NEED TO PAY FOR NEW LOCKS?
The landlord wants to charge me for changing the locks at the front door. Am I required to pay for this. I'd rather give him his keys back and would sign a sworn statement that I have no other keys. There is no provision for this in the contract and I've never been asked for that before.
COST FOR CARPET CLEANING
The landlord wants to charge me for professionally cleaning the carpets ($80)? The carpet is at least 10 years old. It was cleaned when I move in. some of the old stains came out again but I didn't cause any stains. Am I required to pay for this or is this normal wear and tear. I used the carpet only very lightly.
Please let me know how much it will cost for you to provide me a legal opinion.
The contract is 7 pages in 12 pixel font. Most of it is irrelevant. It comes down to 4 or 5 paragraphs maximum.
I don't want a court battle but I would suggest mediation to my landlord if we can't agree on a way to terminate our contract.
The PDF of the contracts was to large to attach. You can download them here:

I added the original lease as well.
Both contracts were drafted by the landlord and are not standard forms.
Thanks,
Klaus Holzapfel

General Info
conceptbakery llc is a marketing agency located in Denver, CO.
Delta Carbona, L.P. is a manufacturer of household cleaning products based in Fairfield NJ.
conceptbakery is managing the online marketing efforts for Carbona.
We created a platform named "StainTalk":
link
We are also active on Twitter, Facebook, YouTube and Flickr.
Carbona is running contests and promotions on StainTalk.
We need terms & conditions that cover the following (broad terms will be better since they let us do more in the future without tweaking everything).
SWEEPSTAKES
Users will submit images to us. They can upload them to our site, upload them on Flickr and tag them or upload them on our Facebook Fan Page.
We will do a raffle each month giving away prizes. Right now we are doing 3 gift baskets per months but that will change.
The deadline is midnight New Jersey time.
CONTEST
The best entries will be picked and added to a T-Shirt store. The sale of these shorts will help to raise funds for a cause marketing initiative. Carbona is not planning to make a profit of these sales.
Users need to give us the full rights to use this artwork. The must be responsible for any copyright violations.
The best selling shirts (and other merchandize) will win prizes. Right now we are planning to give away a $600 iPad for the first shirt that sells 100 times.
FACEBOOK
Facebook requires that every promotion run through their site needs to be approved by them first. We are running the promotion of Facebook and will only mention it in a passive way and won't actively trigger users to post things on their wall or on the Fan Page. That's what FB is trying to avoid,
We have a rough draft for the terms that you can use to work off. I attached it to this project.
We could also use general TOS & a Privacy Policy for the online store at Carbona.com
We don't want this to be too extensive but we need to protect conceptbakery and Carbona from any legal action.
