I am a U.S.-licensed corporate attorney seeking a private securities & capital markets practice coach for 1–2 sessions per week (Zoom or Google Meet), plus occasional email Q&A. This is tutoring/skill-building only — no client work.


I’m looking for someone who can teach the practical mechanics behind common securities filings and offering structures, walk through specimens with me, explain the “why,” and help build workable checklists/processes.


Topics I Want to Cover:


’33 and ’34 Act Filings

  • Forms 3, 4, 5

  • 10-K, 10-Q, 8-K

  • S-1 (initial + resale), S-3

  • Form 144

  • Section 16 timing & mechanics

  • Common disclosure questions, materiality, drafting workflows


Offering Types (Required)

  • Reg D (Rule 506(b)/(c))

  • Private placements

  • Registered Direct Offerings (RDOs)


Bonus but Preferred

  • ATM offerings

  • Basic PIPE concepts

  • de-SPAC transactions and timelines (not required)


Ideal Background:

  • 5–12 years of experience in securities/capital markets (recent enough to know how to do the forms and to understand the pain points one who is new to the forms experience) 

  • Boutique, midsize, or BigLaw background all fine — just need real hands-on practice

  • Comfortable explaining practical steps, not just theory

  • Patient, structured, and willing to answer follow-up questions


Logistics:

  • 1–2 weekly sessions (60–90 minutes each)

  • Email Q&A with preferred ~24-hour turnaround (billed hourly)

  • Remote only

  • NDA required
