Work Terms
1. Scope of Work
The scope of work will be defined in a written proposal, quotation, or project brief agreed upon by both parties. Any services not explicitly listed are considered out of scope and may require a separate agreement or additional fees.
2. Project Timeline
Project timelines are estimates and depend on timely client feedback, content delivery, and approvals. Delays caused by the Client may result in revised delivery dates.
3. Client Responsibilities
The Client agrees to:
Provide accurate requirements, content, and assets on time
Review deliverables promptly and provide clear feedback
Ensure legal rights to all materials supplied (text, images, logos, data)
4. Payment Terms
Fees will be outlined in the approved proposal or invoice
A deposit of ___% may be required before work begins
Final payment is due upon project completion or milestone delivery
Late payments may result in work suspension
5. Revisions & Changes
The project includes a defined number of revisions as stated in the proposal
Additional revisions or changes outside the agreed scope will be billed separately
6. Intellectual Property
Upon full payment, ownership of the final website/code is transferred to the Client, unless otherwise stated
The Developer retains the right to display the work in portfolios and promotional materials
7. Third-Party Services
The Developer is not responsible for failures, outages, or changes caused by third-party platforms, hosting providers, plugins, APIs, or services.
8. Confidentiality
Both parties agree to keep confidential information private and not disclose it to third parties without consent, unless required by law.
9. Warranty & Limitations
The Developer provides services "as is" without guarantees of uninterrupted or error-free performance
The Developer is not liable for indirect, incidental, or consequential damages
10. Termination
Either party may terminate the agreement with written notice. The Client agrees to pay for all
