Lawyer- dealing in commercial legal advisory and transactions (funding rounds)

1. Commercial legal advisory- Drafting and vetting of agreements i.e., loan agreements, non-disclosure agreements, service agreement, partnership agreement, consultancy agreement, facilitation agreements, Non circumvention and non-disclosure agreements, lease agreements, employment related documents, terms of use and privacy policy for various websites, IP assignment agreements etc.
Review of all the commercial legal advisory documents including loan agreements, multiparty agreement, guarantee agreement, employment agreement, NDA, service agreement, partnership agreement, consultancy agreement, circumvention and non-disclosure agreements etc. for a due diligence of a company and preparation of reports etc.

2. Transactions- Worked on Private Equity investment transactions involving review of term sheet, shareholders agreement focusing on protecting the rights of the client (on behalf of both investors and the Investee Company) i.e. right of first refusal, tag along right, drag along right, providing exit options etc., share subscription agreement, share purchase agreement, deed of adherence, founders agreement etc.

3. Advised clients on Information Technology laws, e-pharmacy rules, legal metrology and FSSAI acts, AIF regulations, E stamping and E signatures etc

4.Drafting of HR policies i.e. the leave policy, maternity and paternity leave policy, termination of employment policy, training and development policy, compensation policy, pension policy, severance policy, incentive policy and policy in relation to resolution of internal disputes and complaints, POSH policy, privacy policy, conflict of interest policy
