main skills: - structuring (deals, holdings etc.); - negotiations; - supporting M&A deals; - due diligence; - interactions with state bodies (FAS, Tax Authorities etc.) including all corporate actions (to appoint new CEO, to amend chartet of the company etc.); - establishing legal entities (LLC, JSCs); - reorganizing and winding up legal entities; - drafting documents (including shareholders agreements, share purchase agreements etc). Now I work for corporate department of privately-owned bank (top10 of the biggest Russian banks). I am responsible for M&A deals and corporate activities (issuing shares, FAS-filings etc.). Besides corporate law and M&A (mergers and acquisitions) deals, my projects involve tax, bankruptcy, antimonopoly and other Russian-law issues. M&A deals usually include interactions with offshore (BVI, Cyprus etc.) companies, e.g. issuing resolutions, certificates. Before the bank I worked for 2 years for international law firm (magic circle).
