Work Terms

(a) The Client shall pay the Company 100% of the applicable fee relating to the establishment and setup of the Client’s exchange (the “Setup Fee”), and the Company shall not be obligated to perform any services under this Agreement until the Client has paid the Setup Fee.
(b) On the date of the installation of the live environment of the Client’s exchange, such date to be designated by the Company in its sole discretion (the “Installation Date”), the Client shall pay its monthly minimum or volume fee, as applicable, specified in the pricing section of the SOW (the “Monthly Fee”) for the services to be provided by the Company under this Agreement. If the Installation Date is not the first day of a month, the Client’s first Monthly Fee shall be calculated pro-rata based on the number of days left, including the Installation Date, in the applicable month. The Company shall provide summary monthly invoices showing the Monthly Fee earned. The Company will prepare and deliver the invoices to the Client by the 15th day of each month electronically or in writing by U.S. mail or overnight courier. Invoices are deemed conclusive after 10 days, absent manifest error. The Client shall pay the Company any other fees in the amount and on the timing as specified in the SOW or invoice, including, but not limited to, compensation for the services and all reasonable out-of- pocket expenses (as previously approved by the Client) incurred in the performance of the services, and for any non-standard expenses including support incurred at the written request of the Client.

In the event the Client fails to make any payment within 10 days from the date such payment is due, the Company shall be entitled to suspend performance of the services and, at its option,
(i) terminate this Agreement or the SOW by written notice,
(ii) turn off access to any servers that deliver services to the Client by the Company, or (iii) charge the Client a 10% late payment fee in addition to any charges set
